John F. State


John F. State is a partner in the firm’s Banking practice area. He focuses his practice on commercial finance transactions, including equipment leasing and finance and asset-based lending. He represents banks and non-bank finance companies in connection with a myriad of financing transactions, including:

  • commercial loans and equipment leases involving transportation equipment (e.g., aircraft, rail equipment, tractors and trailers, etc.);
  • asset-based lending involving term and revolving financings secured by accounts receivable, inventory and other collateral;

  • commercial equipment leases involving Internal Revenue Code § 48 tax credits;
  • commercial loans and equipment leases involving non-transportation equipment (e.g., manufacturing, construction, medical, telecommunications, etc.);

  • commercial loans secured by personal property and real estate; and
  • commercial loan and lease portfolios.

Mr. State has over 25 years of experience in all aspects of commercial lending and equipment leasing and finance. He handles all types of commercial lending and equipment finance transactions, including: designing complete documentation sets, systems, and processes to support commercial middle-market and small-ticket leasing platforms; structuring, negotiating, and documenting single-investor, leveraged, vendor and international lease finance transactions; and structuring, negotiating, and documenting commercial loan and lease portfolio sales and acquisitions and syndication transactions. He has experience with a broad spectrum of leased assets and financial structures, including tax leases, non-tax leases, sale-leaseback transactions, TRAC and modified TRAC leases, and energy tax credit transactions.

Mr. State was born and raised in Buffalo, New York. He has lectured on various topics of interest to the commercial finance industry.

Past Experience

Prior to returning to private practice, Mr. State served as senior vice president-general counsel to a large bank‑affiliated equipment leasing and finance company, where he oversaw a group of attorneys located in the United States, Europe and the Asia-Pacific region.
