Debra P. Goldberg
Debra P. Goldberg represents leading financial institutions, asset-based lenders and equipment lessors in a broad range of commercial finance and equipment leasing transactions involving a variety of credit structures. Ms. Goldberg’s transactional experience includes structuring, negotiating and documenting secured and unsecured credit facilities (senior and subordinated), syndication transactions, asset-based loans, unitranche loan facilities, mezzanine and second lien loans, warehouse loan facilities, acquisitions and divestitures of lease and loan portfolios and equipment leases and financings (including ECA-supported leveraged lease financings involving Eximbank).
Ms. Goldberg facilitates transactions ranging in size from single lender to larger syndicated facilities across a variety of industries for a wide range of assets, including, transportation equipment (aircraft, aircraft engines, railcars, vessels, trucks and trailers), marine and inter-modal containers, medical, office communications and construction equipment, trade and lease receivables, intellectual property, drilling rigs and renewable energy projects. These commercial transactions include complex multifaceted facilities that combine revolving credit, term loan and letter of credit facilities, as well as derivative instruments including interest rate swaps. Many of these transactions involve multiple tranches of debt, multiple currencies and complex intercreditor arrangements. Ms. Goldberg also has extensive debt workout and restructuring experience representing senior secured creditors and syndicate groups in and out of bankruptcy, including DIP and exit financing and other financial and legal restructurings.
Ms. Goldberg's aircraft finance and leasing practice includes the purchase, sale and lease of aircraft for high net worth individuals, corporate owners and commercial airlines, new fleet acquisitions from aircraft manufacturers including Boeing, Gulfstream and Embraer, secured loans for acquisitions of new and used aircraft for high net worth individuals and corporations, mergers and acquisitions, documenting fractional share ownership and advising clients on compliance with FAA registration requirements for US registered aircraft.
As a recognized leader in her field, Ms. Goldberg serves as a frequent speaker and author on various topics relating to her area of practice.
