Christopher H. Palmer

Managing Partner

Christopher H. Palmer represents commercial banking and financial institutions, specializing in structuring and negotiating a wide array of financing transactions. In this regard, Mr. Palmer provides representation to lenders by handling all aspects of complex structured finance issues, including documenting revolving credit and term loan facilities, letter of credit transactions, mortgage loans (both permanent and construction financing), leasehold mortgages and interest rate swap transactions. Mr. Palmer has broad experience securing loans with commercial retail and office buildings, multi-family apartment properties, and mixed use properties. In an active advisory role to lenders, he has authored and negotiated detailed loan documentation, loan agreements, security agreements, disclosures, commitment letters, guarantees and environmental indemnities, as well as other credit enhancements.  As part of the loan origination process, he has worked with his banking clients in handling pre-closing due diligence including reviews of leases, environmental reports (Phase I and II), and property conditions reports.  Mr. Palmer has also drafted Master Loan Purchase Agreements and advised his banking clients in regard to bulk loan and asset sales. 

In addition to his transactional commercial lending practice, Mr. Palmer also advises the firm’s clients to ensure continuing compliance with all federal, state and local banking regulations.  In doing so, operational and reputation risk to the Firm's financial institution clients is reduced or eliminated.  He has extensive experience advising Loan Recovery, Workout and Restructuring departments on matters involving creditors' rights, lender liability, loan defaults, commercial foreclosure proceedings, and the enforceability of security interests under the loan documents. Representing lenders in all phases of loan workouts and restructurings, Mr. Palmer has also handled a multitude of deed-in-lieu of foreclosure arrangements, short sales and REO transfers.

Mr. Palmer also advises his clients on land use issues, and environmental due diligence matters involving the New York State Environmental Quality Review Act ("SEQRA") specializing in local law zoning and planning issues and he recently served as lead counsel for the Board of Zoning Appeals in Rockville Centre.

Past Experience

Mr. Palmer has served as a Continuing Legal Education lecturer on several CLE panels, speaking on topics such as “Representing the Commercial Mortgage Lender” and “Cutting Edge Issues in Real Property Law.”  In addition, he has also prepared and presented informational and educational seminars for his banking clients on topics such as "Property and Liability Insurance - What Every Lender Must Know".
