Thomas J. Douglas, Jr.
Mr. Douglas has been working with the firm’s banking,
corporate and real estate clients since 1977. He has worked with the firm’s banking and corporate clients on
transactions including mutual to stock conversions, holding company
reorganizations, mergers and acquisitions, purchase and assumption
transactions, branch and real estate sales and acquisitions, sale and leaseback
transactions and branch and office leases. Mr. Douglas has also worked on a wide range of regulatory matters for
clients of the firm, including structuring of mergers and acquisitions,
affiliate transactions, investment and lending determinations as well as
federal and state compliance and regulatory matters.
Mr. Douglas also has broad
experience related to mortgage lending and mortgage banking matters including
structuring of lending programs, negotiation of contracts for the purchase and
sale of mortgage loans and negotiation of mortgage loan servicing and sub-servicing
agreements. Mr. Douglas has also worked
with the firm’s banking and corporate clients in negotiating and drafting a
wide range of contracts, including computer contracts, service contracts and vendor
contracts.
